Company Startup Procedure

Dear Investors,

AISA has been created in order to attract and facilitate both domestic and foreign investment. Therefore, it is the objective of AISA's staff to assist the investor in completing their legal procedures. The following Terms and Conditions for obtaining an investment license are representing the present legal prerequisites. Ifyou need any help or clarification, do not hesitate to ask the AISA staffs.

New License issuance procedures:

Domestic & Foreign Company

Any domestic and foreign firm willing to legally operate in Afghanistan and requires a business license. This license would be issued by Afghanistan Investment Support agency (AISA) and is renewed by the agency on annual basis. Sectorial based companies require an agreement from their relevant ministries such as Health or Transportation sector require an additional agreement from the respective ministries besides the AISA license before starting their operations in the country.

Below is the detailed information on both the AISA license as well as the other additional licenses.

Please check with our Investor Support Department whether or not your business requires such an additional license.

  1. Domestic License: This type of license is issued only to Afghan investors to operate within Afghanistan. Such type of license will hold (D) character before the License Number, e.g. (D- xxxxx).

          Documents Required:

  • Original ID Card of President, Vice President, Shareholders and Contact person
  • Presence of both president , vice president and Shareholders
  • Legal power of attorney (if president and vice president or shareholder can't be present)
  • 4 normal size photos of president and vice president (total of 8 photos)
  • Copy of official rental agreement / owner equity letter
  • Agreement letter from the relevant Ministry(if it is sector based company)
  • Experience letter of both president and vice president (if it is Consultancy or Legal services)
  • If the company is production a letter will be given to Ministry of Commerce for name verification.

 

  1. Foreign License: This type of license is issued only to foreign investors willing to operate within Afghanistan. However, the procedures are slightly different from the Domestic licenses considering a number of factors, such as: who wants to invest, is the company a separate entity or a branch of a foreign company, and etc.

 

  1. License for foreign individuals: This is for Foreign investors establishing a new

Company in Afghanistan. The company's president, vice president and shareholders have their own shares and get dividends as per their shares' rate. Such licenses hold (I) character before the license number. e.g. (I-xxxxx).

          Documents Required:

  • Copy of  passport with valid visa of President, Vice President and Shareholders.
  • Original ID card of contact person(must be Afghan).
  • Original ID Card of president, vice president or shareholders (if any of them   is Afghan)
  • Presence of both president and vice president with shareholders.
  • Legal power of attorney (if president and vice president or shareholder can't be present)
  • 4 normal size photos of president and vice president (total 8 photos).
  • Copy of official rental agreement / owner equity letter.
  • Agreement letter from relevant Ministry (if it is sector based company)
  • Experience letter of both president and vice president (if its Consultancy or Legal services)

 

  1. Opening a New branch: This type of license will be for Investors establishing a branch of their company with 100% share in Afghanistan. President and vice president act as managers responsible for all legal activities in Afghanistan.

Such licenses will hold (I) character before license number, e.g. (I-xxxxx)

Documents Required:

  • Company Board of Resolution attested by Afghanistan Embassy
  • Legal Power of Attorney should be attested by Afghanistan Foreign Ministry
  • Copy of passport with valid visa of President and Vice President
  • Original ID Card of contact person(must be Afghan)
  • Original ID Card of president or vice president (if any of them is Afghan)
  • Presence of both president and vice president
  • 4 normal size photos of president and vice president (total 8 photos)
  • Copy of official rental agreement / owner equity letter
  • Agreement letter from relevant Ministry (if it is sector based Company)
  • Experience letter of both president and vice president (if it is Consultancy or Legal services)

Note: investors applying for new license of Consultancy and Legal services Company; both president and vice president must be qualified with Master degree along with5 years’ experiencein the relevant field, or Bachelor degree with 10 years’ experience in the relevant field.

Investors applying for new license of Audit Company; the President and Vice president must be qualified of (ACCA) or (CA) Degree with 2 years’ experience in the relevant field. After completion of all above mentioned documents by the investors ,the internal procedure and process from start to end will be completed within approximately (8) working hours for all of licenses.

 

 

 

License Renewal:

The process of renewal is completely different and easy comparing with the initial Process of obtaining the new license. For renewal, however, the confirmation of LTO and MTO Departments of MOF(Ministry of Finance) that the company has paid its taxes is required. After receiving the aforementioned letter, the license will be renewed in 2 hours.

 

 

Changes Process:

In accordance with "Law on Private Investment in Afghanistan" the investor (A Registered Enterprise) must immediately notify AISA if there has been a change in its Ownership or Capital structure, or if an investor contributes additional capital share in a business and legalize it before any claim.

If One of Shareholder of the company want to resign from the partnership in a company, it’s compulsory for all other shareholders for their presence in AISA office in order to take their agreement. A letter will be given to Ministry of Finance and Commerce through the company, because each company is also registered with them.

Bringing changes in Capital Structure and activity of the company has just same procedures.

Condition and requirement for changes:

  • Presence of all shareholder of the company (the current and new)
  • Original ID Card of president , Vice president and Shareholders (the current and new)
  • Legal power of attorney (if president and vice president or shareholder could not be present)
  • 2 normal size photos of president and vice president
  • Agreement letter from relevant Ministry (if it is sector based Company)
